So glad you're with us, Alicia.
Thanks for having me.
Oh, it's so great to have you, and what a story you have.
So your current firm is a boutique advisory firm in franchise strategic consulting.
You have three qualifications behind your name, which we're gonna unpack in a moment.
NACDDotDC、c MAA 和 c f e。
NACDDotDC, c MAA, and c f e.
But your resume is so vast.
I mean, not only were you a franchisee at Sylvan Learning years ago, you were a senior leader at Motorola.
For your current venture, you've been involved in a few other strategic leadership companies.
But what we're really gonna talk a lot about today is the fact that you're an author of an incredible book on private equity in the franchise sec sector, which I believe is the first of its kind.
是的。
It is.
You also write for entrepreneur and Forbes.
You serve on the board of a large urban air franchisee, which is incredible, and you serve with the IFA, which is how we know each other.
So you lend your expertise in the world of education, and I love to see your passion align with mine when it comes to that.
You have quite a pedigree of education.
You attended Smith College, and then you have two master's degrees, one from the University of Maryland and an MBA from Wharton.
My goodness.
That is a lot.
So let's unpack your career.
Let's take the time from when you left becoming a franchisee into franchise consulting.
Can you talk about that move and why?
Sure.
When I came in as a franchisee, I was determined to learn everything I could about franchising.
So I, honestly, one of the first things I did was come to an IFA convention, and I enrolled in the certified franchise executive program, which is really well designed to sort of walk you through the different areas of franchising, franchising, how to be an effective franchisor, you know, how to be a better franchisee, and then areas that I had no exposure to at all such as, international franchising.
And it was a really good grounding for me.
I wish I had done it earlier even before I had, you know, started my franchise business, but that's how I really kind of first surveyed the landscape of franchising and learned all about it.
When I sold my franchise business and I, at this point, was fully steeped in franchising and decided this is where I wanted to stay.
I love franchising.
I went into consulting, and the first thing I did was really franchise development, which I think is a fairly common path.
My entire career prior to franchising was always go to market, so sales and go to market strategy.
So transitioning into a friend dev position wasn't a stretch.
But quickly, I ended up transitioning then again to more traditional management consulting and strategy because what I found is that everyone was trying to grow with a specific purpose of trying to attract capital so they could accelerate their business that much faster, and that's what got me to really understanding private equity.
Ah, what a wonderful pathway.
So what about franchising makes it your lane?
Why do you love it so much?
I love, the passion of entrepreneurs.
I love how nimble franchising is, how innovative it is.
There's concepts now on the market that are really cool and interesting and bring something different, And you get this sensation constantly of why didn't I think of that?
That's a great idea.
没错。
Exactly.
是的。
Yeah.
I've done that.
I love it.
对。
Yeah.
I love it.
You know, not everybody wants to go sit in a corporate kind of a role and build their career that way.
Some really are better suited for running their own business.
But I appreciate the franchise model quite a lot because I myself am not an inventor.
I do have a patent actually, coincidentally, but, I'm not really an inventor.
I liked franchising because I could come in and implement a process.
And I appreciate there there's a lot of people who wanna run a business and just say, you know, give me the playbook.
I just wanna run a good business.
And I I think the franchise model is really so brilliant in in how it's constructed that way.
Well said.
So let's talk about all those letters behind your name.
You've talked about one, CFE, which is certified franchise executive, and we share that.
Tell us about the other two.
So the NACD is the National Association of Corporate Directors.
I'm a perpetual student.
That's what my husband says.
That's a certification program to be a more effective director at the board level.
So that is a program I went through.
And then the CMAA is a similar certification but pointed at m and a advisory.
You know, Alicia, many CEOs of very successful companies always say the real secret is to be an avid learner and to continue learning.
So bravo.
You do that.
And speaking of which, your writing has helped me learn.
I love to constantly learn, and I'd mentioned to you when I first received your book, I skimmed through it, probably not as deeply as I should have.
And I thought, oh, this is really good content.
But prior to this, I read it word for word, and now I've been recommending it to everyone.
So let's talk about your fabulous book, which is called Big Money in Franchising, Scaling Your Enterprise in the Error of Private Equity.
Private equity, honestly, is a mystery to so many of us.
And so this is the only book I know of private equity in the franchising sector, and there were just tons of things I love about it.
But first, tell us, why did you decide to write this book?
And it's not a small book.
It's over 300 pages with the amount of references.
I mean, this old professor loved all that, so it's very well done.
But why did you decide to write this?
对。
Yeah.
Short form content is probably not my strong suit.
It's definitely a chewy book, And this is the part of the book that made it forward.
There's another 600 pages on the cutting room floor that are I probably have material for two more books, honestly.
Oh my gosh.
So first time book author, it's not a surprise I had too much and needed to narrow it down.
When I saw what was going on around all this PE activity and franchising, it was clear that there just wasn't any good resource people could go and read to figure this out.
And so everyone was hunting and pecking their way through and figuring out based on their own network of people, and there wasn't any cogent framework on how to think about private equity and think about the impact on franchising.
You know, is it good or bad or somewhere in between?
So it seemed like a timely resource that people would need and use.
And I included a lot of case studies and references so that people could realize, you know, this is not something that should be mysterious to them.
It's accessible.
You know?
It's not one little group of anointed people can figure it out and everybody else can't.
That's not true.
But you gotta dig in and do the research to really understand it, and that's what I tried to do in the book.
And I think you did that quite successfully.
I love the case studies because it brought your concepts to life.
And so let's start with just an overview of private equity.
Oftentimes, when people hear private equity, they just have no clue, and it sounds like a bunch of multimillionaires putting money together to have some type of fund, and it's really not that at all.
So maybe you could just dispel all the myths and give us an overview of the private equity landscape.
好的。
Sure.
I tried to break it down in a sensible way.
So traditional private equity raises money from from university endowments and pension funds and invests in companies.
Right?
And the goal is to grow them and hopefully sell them at some point to make a return on their investment.
But there's a lot of other private capital players active in franchising, such as independent sponsors and family offices and so on.
So I tried to break all of those things down in a way that would make it easy for people to digest and then talk through, you know, their different hold periods, their different strategies, their track record, and what they look for.
And then marry that to, okay, there's this huge landscape of 4,000 active franchisors and multiunit franchisees.
Where do they play and how do they organize themselves?
And to me, the easiest way to think about it was to group them into, you know, are they growth?
Are they looking at emerging brands?
Are they more scale players, which is kind of split between investing in growth businesses and investing in more value large scale businesses that maybe aren't growing still as fast but still really valuable to own, or are they turnaround investors?
Those three buckets describe the landscape, I think, very well.
And just taking apart all that complexity and putting it into those three buckets, I found a lot of people say, you know, gosh.
That's just an easy way to think about it.
Now I can see more clearly where my own company might be on this what I call the the PE profit ladder, and also what kinds of firms that maybe I should be starting to talk to.
That was very helpful for me because the words growth value and turnaround, very easy to understand that.
How many private equity firms are there in franchising right now involved either at the franchisor level or at the multiunit franchisee level?
More than 700 by my research.
It's a lot, but it's actually it's a small percentage of the number of firms.
So there's 5,000 registered traditional private equity firms that are raising money from pensions.
Right?
They have to register themselves.
There's something like 9,000 family offices, and 700 brands have received, private equity money.
That's about 400 firms.
So it's a very small percentage of firms and brands that have actually paired up.
There's that's why I think there's still quite a long ways to go.
You know, 700 brands, if there's 400 active, that means less than 20% of brands have affiliated themselves with private equity in some way.
Now there are some, you know, scale brands that are very attractive that are holdouts and have said many times they don't plan on taking PE or they're delaying it.
That's great.
But, you know, if you think about it, there's this really long tail of other small of smaller brands that may be very interested in attracting private equity money, but probably never will unless they make some changes in what they're doing.
I can definitely understand that.
And I think sometimes with private equity, I read in your book that they're looking to triple their money within five years as a standard.
Not their money, their investment, I should say.
And that alarms some people because they look at it as they wanna jump in, make money, and jump out.
Are there examples of private equity firms that hold?
Sure.
First, I don't think they should be alarmed.
The playbook is what it is, and you can make your own choices and your own journey based on knowing the playbook.
If they've got to make a return that fast, they are going to tend to invest more in marketing, franchisee support, new market expansion, launching new products and services, you know, updating the tech stack because they've got to create a more valuable significantly more valuable business over time to be able to flip it.
In theory, this is how it works.
Right?
Now we all know sometimes the changes they make aren't seen as positively by franchisees.
So this is not always a good story.
But for the most part, their growth agenda is pretty well aligned with what franchisees should want in a system.
But, you know, over time, as the brand gets scale and the growth starts to slow down, that's when they can start to make changes that maybe aren't related to growth and are more related to finding ways to take profit out of the business.
And I think that tension point is where people get uncomfortable, and where we have seen probably the most complaints related to private equities entrance into franchising.
They're not complaining as much about emerging brand activity.
They're complaining more based on the list, you know, that was submitted to the FTC.
They're complaining more about scale brands where the environment is changing.
They're starting to add fees.
They're starting to do things that franchisees maybe don't like or can't see a clear business case for.
对。
Mhmm.
In terms of long hold, actually, there's the longest hold player is Roark.
They rarely sell.
对。
Right.
And they've invested in more than a 100 franchisors.
So of that 700 brands that have received PE help, A 100 plus are Rourke.
So one in seven.
Right?
哇。
Wow.
I don't think I realized that.
I knew they were the power player, but wow.
That's a big number.
对。
Yeah.
That so their MO is they like large scale brands.
So they may or may not be growing fast.
Some are and some aren't, but there's other ways to take money out of a franchise system if it's got tremendous scale.
Right?
So that's their playbook is is a little bit different.
But there's you know, Riverside invested three times in Neighborly as it continued to grow.
You know, they in different funds, they invested in one fund and then sold and then reinvested.
Lawn doctor
Lawn doctor's another one that's been PE held for, I think, twelve or thirteen years at this point.
It just continues to grow like gangbusters, and they're adding they're now making a home services platform out of it, called Happiness Brands.
So I think we're gonna see probably some longer holds.
You know, there's a little bit of a backup in m and a right now where, some some current holders would like to create a good exit, but it's just not an optimal market right now always to do that.
So they may end up holding it longer.
You know?
对。
Mhmm.
But what PE does, I think that more independent business owners should think about is they always try to keep the business in a sale ready position.
That way they can be opportunistic If, you know, the market improves and they find a really good buyer, they can jump on it.
Their thesis does not depend on perfect market timing.
But, you know, sell ready is good for everyone.
It means you're driving revenues.
You're driving profits.
I mean, that's a that's a nice formula.
But you also provided this timeline with franchising and PE, and it was fascinating to me.
You put it into four generations.
The first was 1920 to 1960 called the early years.
And, of course, a and w started in the twenties and KFC in 1952.
So I thought, oh, I can relate to that.
And then generation two point o is from 1961 to 1990, and you coined that pre PE.
And I think that's when like, I think back to my KFC days, we were owned by Pepsi.
So that was when large corporations were owning these franchises.
Then franchise generation three point o was from 1991 to 2019, and you call that post PE.
And that was the influx of the PE movement.
And now for 2019, post pandemic.
What do you think initially drove PE's interest in franchising?
A lot of things came together at the same time.
The first private equity firms were founded in the late forties that really kind of got underway in a bigger way in the sixties and seventies, and then we went through this large buyout era in the eighties where franchising was not on their radar.
At that time, a lot of them were doing these really large leveraged buyouts, and there was some fallout from that that wasn't always good.
But there were always these investors looking for new ideas.
And the first group kind of came in, had, experience in malls and restaurants and retail and put in you know, put a toe in the water, did a couple of investments.
But, really, it was Bain who put I think we can credit Bain putting franchising on everyone's radar.
They made three investments that together were $5,000,000,000, Dunkin', Burger King, and Domino's in the, late nineties and early two thousands.
And they did so phenomenally well for themselves and their investors in those investments that the entire PE sector went, hey.
Franchising.
What a great idea.
This is a great model.
Right?
I mean, it didn't hurt that one of Bain's former leaders was running for president and was getting a lot of press, and so the the press was picking through their history of all their investments and what they were doing.
So just it got so, so much attention.
You know, it's it's fascinating to me that franchising is a multibillion dollar business with, you know, 800,000 units in this country, but still it's sort of, like, invisible in a way.
它
It's
just Exactly.
And it was then too.
And just sort of all of a sudden, everyone turned all at once and went, ah, franchising.
What a great idea.
And so that's when the first entrance really came in in the nineties.
Late nineties, early two thousands is when we started to see just so much more activity.
And, you know, Alicia, I agree.
Franchising is still almost invisible even in business schools.
So there are a few of us that are teaching this, and the students are enthralled by it.
And it's really because it's such a great model to your point, not everyone's an inventor, but people wanna run their own business.
And I think that's probably the the same that happened with PE.
So let's switch gears a little bit, because private equity not only invests at the franchisor level, but it also invests in some multiunit franchisees and some very large multiunit franchisees as well.
Could you talk about this and provide us an example?
Sure.
So there are some investors who do prefer only franchise brand investing.
Right?
They don't wanna own units.
Mhmm.
But there are others who like backing great operators, and they're they're really looking for, the bar is usually higher.
So whereas maybe they're willing to look at systems that have 500,000 to a million of EBITDA, most of these guys, if they want to invest at the unit level, they wanna see more like 2,000,000 of EBITDA, so pretty big scale systems.
So you don't see it in systems smaller than a 100 units.
You may not really even see it in systems until it gets to be about 500 units because you gotta create scale.
Right?
You can't Right.
You can't build enough if it's a if it's a small system.
And, look.
I've read a stat somewhere that 60% of units are owned by baby boomers.
So we've got a lot of consolidation coming.
I think that's also why the business schools who are looking at franchising, one of their angles is this entrepreneurial acquisition.
Right?
So get started by acquiring existing units.
That's how I got started in franchising.
Mhmm.
It's a really interesting model.
But as these systems consolidate, you know, the bigger and bigger these operators get, the less likely it is that you can continue on that path without private equities capital.
Right?
It's just too big.
So I think that's where the intersections really has accelerated recently.
And you are so right.
Consolidation, even though half the franchise owners are still single unit, that means the other half are multiunit and growing.
Just through the last few years, who would have thought there would be a franchisee with 2,600 units?
And it's happened with the with the Flynn Restaurant Group.
I mean, that's pretty incredible.
And there are examples of folks having hundreds and close to a thousand as well.
And you're right.
I think it does take private equity dollars to make that happen.
That was interesting.
So let's talk about this power dynamic with private equity.
What do you see at the franchisor and franchisee level?
When PE comes in at the franchisee level, it creates a really interesting dynamic because the franchisor might be backed by another PE group, and they may have conflicting mandates.
I actually think this is one of the healthiest things to happen in franchising in a long time is it is prompting a lot more conversations around how good of a steward the management team is of the business, and are they making changes that are positive for franchisees and the system, or are they not making changes fast enough?
Are they making changes that are really more about improving profitability at the parent level than helping franchisees?
What's different is that PE at the unit level, those guys will align quickly.
They're not emotional about it, and they bring data.
And we've seen in some large systems that they've been able to get changes made at the franchisor level because they just bring so much data that it's hard to deny that there's a problem, And so it forces that conversation.
It's harder to sort of isolate those franchisees.
You know, sometimes that is a tactic that franchisors will use when someone's disgruntled.
They'll say, okay.
Well, you're an individual, and this does not reflect the whole system.
But if 60% of your system, in some cases right now that's the case, is PE backed and that block shows up with data and says you need to do things differently and here's why, that is really hard to deny.
Not all the management teams are prepared for that level of candor and that level of data, and I think that's partly why we've seen some reluctance in some systems to let PE in at the unit level, which is kind of an interesting irony from my perspective.
But at the franchisor level, they have run a very clear playbook, depending on where that brand is in its life cycle.
I talk through that in the book.
对。
Mhmm.
So that franchisees should be well prepared to anticipate likely changes that are coming as the brand matures.
But, honestly, some of these changes would happen with or without PE.
They're just part of growing up in a franchise system.
The difference is that PE moves really fast because of this time constraint that they're under and that the pace of change can be unnerving.
And how change is communicated and how much they collaborate with franchisees is can be an issue.
I can see that.
You know, as I was reading through your book, it occurred to me working for a publicly traded company.
There are a lot of similarities Mhmm.
With a lot of the discipline that's needed and the push for results.
And so I thought there are a lot of similarities there.
是的。
Yeah.
You also you have a whole chapter.
好的。
Okay.
It might have been my favorite.
Dedicated to the private equity profit ladder.
It is fascinating.
And, Alicia, we could probably talk for hours on this one.
But just tease it out for us how you came up with that and maybe just a quick overview of that.
Look.
I think it's important for people to understand how the mechanism works, so how private equity is making money because that has downstream fairly predictable playbook implications for franchisees in those systems.
Right?
So you can see how each of the different players monetizes their investment and what sorts of levers they might try to pull during their ownership cycle.
But I thought it was also important for people to realize once it's traded the first time to private equity, it's gonna stay on that ladder for a while.
It's gonna be owned multiple times, so they should anticipate there will be a change in ownership.
And so you can't you can't fall in love with the management team, or the founder because those folks may exit at some point.
And this isn't just a franchise thing.
This is a private equity thing.
Academics have have studied this across more than 5,000 PE investments and just discovered that once it's purchased the first time, the most likely buyer the next time is another private equity fund versus a strategic or going public.
So it can be on that ladder for a while, or it could land, you know, in sort of a long hold investor like a Rourke at some point or a family office.
It's a fabulous chapter.
I mean, it really helps unpack exactly what you've just said and more.
So we'll just leave it at that.
People will have to buy the book to find all the details.
And, you know, at the end, you provide powerful advice, and I love the name of the chapter, what to expect when you are expecting.
And so it's all about getting ready for private equity, whether you're a franchisor or a franchisee.
Just for fun, what are a few of your best tips for franchisees who are in a brand that may be sold or traded to a private equity firm?
That's easy.
You need to get a independent franchisee association rolling.
I don't know how we can possibly manage change in a productive way without that muscle memory of communicating and working through changes.
你看。
Look.
Franchising has been around for a century.
We have gotten through change, but we've gotten through change most effectively when we've worked together, franchisors and franchisees, in some organized collaborative way.
And a franchisee association can help chew through, you know, the business case for change, can pressure test assumptions, can test it in the field before you roll it out.
Systems that act more top down and just shove changes down to the franchisees without consulting them or without really considering their profitability, that's not best in class franchising.
That's really not how this was supposed to work.
Just because the contract says you can doesn't mean it's the right way to go.
对。
Right.
And I think we're gonna see more and more that there is a tremendous competitive advantage to being agile and great at change management, which involves being great at, you know, working with your own franchisees.
And if you're not, if you wanna fight it out and do it the hard way, you can do that.
You're not gonna attract the best franchisees that way.
And if you try to sell it later, you're gonna have more skepticism around the value creation story, because it's been so contentious.
It doesn't need to be contentious.
Just work together.
Totally agree.
So you talk about an association, which is an outside group that the franchisees put together and create their own type of governance.
Do you think in a franchise advisory council that's internal to franchisor could accomplish the same?
当然。
Sure.
可以。
It can.
I think, independent associations tend to crop up when things start to go sideways,
也就是
which is
which is unfortunate.
If you had a working series of advisory councils, some do just one FAC and some have specialists.
You know, they have a marketing FAC, they'll have an IT.
Whatever works for your system.
If you've got them effective and working and franchisees feel like, as a group, feel like those FACs are a good working group and speak for the majority of franchisees, then those are fine.
对。
Mhmm.
But some systems have neither.
There's no mechanism there to work through franchisee proposed changes on their side or franchisor changes.
There's just there's no mechanism for discussion.
It's not an effective way to run it once it hits, you know, some some sort of scale.
Well, I can't disagree with that.
That that's well said.
So private equity often has a negative connotation.
What are your thoughts here?
Why do you think that's happened, and how do you think that can be overcome?
好的。
Sure.
I think at the root of it is, a combination of misunderstanding and, you know, a few actors who have acted badly, which then taints the entire, sector.
Franchising has experienced the same thing.
So, look, private equity has been largely positive for franchising.
It has accelerated brands and provided liquidity for founders and franchisees in a way that just didn't happen before they came in.
The the data just doesn't lie.
It's it has really changed the franchise landscape in a positive way.
It's kind of grown us up and has helped us put systems and support in place much faster than we otherwise would have.
It's also been a fairly effective blocker of subscale brands and weak concepts because the reality is they'll cherry pick and they'll go in and, they'll pluck out the good ones, and the rest are left behind.
They don't have access to capital, and now they're competing with a much better funded competitor.
So it makes it really tough for new for new entrants, but they've also made some mistakes along the way.
And I think when they make mistakes, you know, people assume that private equity investors are really good at what they do, and by and large, they are.
That doesn't mean they're immune from mistakes.
There can be due diligence mistakes.
There can be, frankly, overconfidence.
This happened more often in the early days of PE investing where they took on these businesses that had too much debt already and thought they could turn them around and then added more debt, well, with predictable, fairly predictable results.
Now they are much more cautious as a group.
They try not to have over leverage at the franchisor level, and they most of them tend to avoid turnarounds.
So their investing mandate has evolved based on their experience in franchising.
But, you know, some of their other mistakes, frankly, are unforced errors.
You know, they just are too hard on franchisees.
They move too fast.
They don't think about the human side of franchising and how to roll out change effectively, and that's probably where more work still needs to be done.
But, look, there's there's many very successful PE firms that do a terrific job, and we've got lots of case studies, some in the book to talk about when it's done well, it can be a tremendous accelerator for the brand, which also accelerates good outcomes for franchisees because their units are more valuable in a more valuable system.
Excellent.
说得好,Alicia。
Well said, Alicia.
I have two last questions that are really centered around you.
So you have accomplished so much, and gosh, you've told us so much.
I feel like I definitely could talk to you longer and longer about this, but you've done so much in your career.
What are you most proud of?
I'm proud of the book.
I think it was needed.
The fact that it's gotten such a good response tells me that my instincts were right, that this information is really helping people, so that's that's good.
I'm proud also because my youngest child watched me go through this process, and I think it was a good learning experience for her.
She may never be an entrepreneur herself, but I do think having a parent who's an entrepreneur is a really special thing to present to a child as a choice.
Probably one of the reasons more people don't think of franchising is because their parents might not have been entrepreneurs, so they don't necessarily see themselves in that role, which is a shame.
I'd love to see more community colleges, colleges, high schools even, you know, teach about entrepreneurship because it's such an important important thing.
So her watching me start my own business, you know, launch this book, I think.
I I came from an entrepreneurial household.
My dad was an entrepreneur.
And just knowing that that option is available to you is really powerful.
Oh, that's awesome.
And one last question.
What do you wish you had known before you entered franchising?
You talked a little bit about it at the very beginning, but anything else?
Before I'd entered, I think what I wish I'd known is the vast variety of options.
There are so many options to get involved as a franchisee entrepreneur.
I much too quickly sort of honed in on one sector that was interesting.
And now that I know franchising better and I've looked across all these brands, there are just so many great concepts out there.
I wish that I had done more investigation to see other kinds of brands that I might have gotten involved with because there's some really terrific, exciting things going on.
Well, Alicia, thank you so much for your time.
Thank you for your book and your contribution to the franchising model.
We are all going to use it, so thank you.
